Alibaba.com : la Saga


Alibaba Group Holding gère le site B2B Alibaba.com, le site C2C de shopping online Taobao, et le site B2C de shopping online Tmall.com. Ces trois services sont des sites web leader dans leurs domaines respectifs en Chine. Il gère aussi le moteur de recherche sur le shopping Etao et Alipay un site de paiement online similaire à Paypal avec déjà 650 millions de comptes.

La holding est détenue à 32% par Yun Ma, son Chairman et CEO.

Alibaba Group Holding essaye d’améliorer la qualité des magasins et les produits de chaque site et améliore l’expérience client en mettant en place des accès mobile et en développant un réseau logistique couvrant l’ensemble de la Chine.

 Alibaba Group est un écosystème de business internet qui permet à toutes et tous d’acheter ou de vendre online partout dans le monde. Depuis sa création, il a développé des business en pointe dans le domaine du e-commerce, du paiement online, des places de marché business-to-business (B2B) et du cloud computing. Les principales entités du Groupe Alibaba Group’s incluent :
-    Alibaba.com International : une plateforme d’e-commerce pour les PME. Lancée en 1999, Alibaba.com International (www.alibaba.com) est la plateforme d’e-commerce à destination des PME rassemblant le plus d’usagers. Elle vise à être un point d’accès au business en anglais et à aider les business de petite taille à s’étendre à l’international. Fin 2012, la plateforme comptait environ 37 millions d’utilisateurs enregistrés dans plus de 240 pays et présentait en ligne plus de 2.800 boutiques de fournisseurs.

-    Alibaba.com China : la première plateforme Chinoise d’e-commerce destinée aux TPE lancée en 1999, Alibaba.com China (www.alibaba.cn) vise à permettre l’accès aux TPE Chinoises à une offre complète de solutions d’e-commerce. Les services proposés ne s’arrêtent pas à un simple inventaire de produits, mais à des services de recherche de fournisseur et d’achat en gros. Fin 2012, la plateforme disposait de 78 millions d’utilisateurs enregistrés et présentait plus de 8.500 boutiques en ligne de fournisseurs.

-    AliExpress : Lancée en 2010, AliExpress (www.aliexpress.com) est la première place de marché d’e-commerce faite pour les offres en petit nombre. Avec plus de 50 millions de produits et 40 principales catégories de produit début 2013, AliExpress met en contact des vendeurs avec près de 4 millions d’acheteurs enregistrés dans plus de 200 pays.

-    Taobao Marketplace : site le plus populaire de Chine d’e-commerce de consommateur à consommateur (C2C) (www.taobao.com). Son objectif est de développer un écosystème d’e-commerce qui apporte aux partenaires et aux consommateurs la meilleure expérience client possible. Avec plus de 800 million de produits disponibles et plus de 500 millions d’utilisateurs enregistrés mi-2012, la place de marché Taobao est un des 20 plus visités au monde site web. En 2012, le volume de marchandise de Taobao et de Tmall.com dépassait 1 Trillion de Yuan.

-    Tmall.com : Lancé par Taobao en avril 2008, Tmall.com (www.tmall.com) est une boutique en ligne en Chine avec une large sélection de marques. Cette plateforme de business à consommateur (B2C) vise à distribuer des produits de qualité, de marque, destinés aux clients Chinois de plus en plus exigeants et est devenu le site B2C le plus visité en Chine. En juin 2011, il a été séparé de la place de marché C2C Taobao et est devenu une plateforme indépendante. Tmall.com présente actuellement les produits de plus de 70,000 multinationales de premier plan and des marques Chinoises de plus de 50,000 fournisseurs. Il propose des produits de manière groupé dont un supermarché virtuel de l’électronique, une méga-librairie en ligne, une boutique de meubles, des boutiques de chaussure de designers,  un centre de vente de cosmétiques. Les marques présentent sur Tmall.com incluent des marques de premier plan comme UNIQLO, L’Oréal, Adidas, P&G, Unilever, Gap, Ray-Ban, Nike and Levi's. Les places de marché Tmall.com et Taobao détiennent le record du plus nombre de transactions dans une journée le 11 novembre 2012, permettant la vente de bien pour un total de 3 milliards d’USD. En 2012, le volume de marchandise traité sur les deux places de marché a dépassé 100 milliards d’EUR.

-    Juhuasuan : est une plateforme d’achat groupé Chinoise (www.juhuasuan.com). Elle a été lancée par Taobao en mars 2010 and est devenue une plateforme indépendante en octobre 2011. La mission de Juhuasuan est d’agréger le pouvoir individuel de chaque client et de lui offrir la plus large sélection possible de marchandise de haute qualité et des services dans le même temps de proximité. En 2012, Juhuasuan a attint un volume de marchandise traité de 2 milliards d’EUR, le double de celui de 2011. Cette année-là, plus de 20 million de clients ont acheté des services et produits de Juhuasuan.

-    eTao : service de recherche destine aux achats en Chine (www.etao.com). Il s’agit d’un moteur de recherche qui apporte des informations complètes sur les produits, les marchands et les offres promotionnelles. Il a été lancé en test par Taobao en octobre 2010, puis est devenu une plateforme indépendante en juin 2011. Sa mission est de créer un point d’entrée unique qui permette d’assister les clients Chinois dans leur décision d’achat en ligne, et les aident à identifier des produits à bas coût, des marchandises de haute qualité plus vite. Les services offerts par eTao incluent la recherché de produits, les rabais, les bons d’achat, les recherches groupées, la communauté Tao. Il présente actuellement plus d’un milliard de produits, plus de 5,000 fournisseurs B2C et des sites d’achat groups, ainsi que plus de 200 million d’articles relies au sujet des achats en ligne. eTao présente les résultats de recherche des principales plateformes B2C and et des plateformes individuelles de marques dont la plateforme Taobao, Tmall.com, Amazon China, Dangdang, Gome, Yihaodian, Nike China and Vancl.
-    Alibaba Cloud Computing : Lancé en septembre 2009, Alibaba Cloud Computing est une plateforme de cloud computing et de gestion de données pour développeurs. Son but est de construire la meilleure plateforme de service de cloud computing. Son objectif est de contribuer à la croissance du Groupe Alibaba Group et de son écosystème d’e-commerce en apportant une suite complète de services en ligne, qui inclue le data mining de données commerciales, le traitement à haute vitesse de données d’ e-commerce.
-    Alipay : Lancé en 2004, Alipay (www.alipay.com) est la solution de paiement par tiers la plus largement utilisée en Chine avec près de 800 million de comptes enregistrés fin 2012. Ce service permet à des millions d’utilisateurs d’effectuer de manière simple et sécurisé des paiements ou d’en recevoir. En novembre 2012, Alipay a atteint un plus haut historique de paiement quotidien avec 106 millions en 24 heures. Alipay prpose un service d’ “escrow account” qui lui permet de sécuriser les transactions en ligne et en fait l’outil de paiement préféré des marchands sur internet en Chine : les acheteurs ont la possibilité de vérifier s’ils sont satisfaits de la qualité des biens achetés avant de permettre le paiement aux vendeurs. Alipay est associé à plus de 170 institutions financiers dans le monde dont des banques de premier plan Chinoises, ainsi que Visa et MasterCard pour faciliter les paiements en Chine et à l’étranger. En plus de la place de marché Taobao et Tmall.com, Alipay apporte ces solutions de paiement à plus de 460 000 marchants, couvrant une large variété d’industries incluant la vente au détail en ligne, les jeux en réseau, les communications numérisées, les services commerciaux, les billets d’avions. Il offre aussi une solution de paiement en ligne pour aider els marchands à vendre directement aux consommateurs en Chine et permettre la bonne réalisation des transactions dans les 14 principales devises.

2.1.     Une stratégie de couverture de l’ensemble des métiers du e-commerce

La démarche de développement du Groupe est systématique, comme le montre l’historique de son développement (Cf. ci-dessus).

Parti initialement d’une idée de B2B, tous les domaines du e-commerce ont fait l’objet de développements successifs : le développement s’est effectué dans les quatre directions possibles : B2B, B2C, C2C, C2B (achats groupés) 
Ce développement est impressionnant du fait non seulement de son ampleur mais aussi du fait de sa rapidité : le Groupe a été créé en 1999 dans un garage.

Un autre aspect remarquable de ce développement est la méthode de lancement d’un nouveau site. Une idée est tout d’abord testée comme un sous-produit d’un site, avant d’être lancée comme un site indépendant et d’imposer sa marque.

Enfin, notons que l’expansion stratégique ne s’arrête pas :
-       Alibaba a dépensé récemment 586 million de USD pour 18 % de Sina Corp, dans le but de capter une  partie de l’audience de weibo pour développer l’e-commerce social, communautaire ;
-       La société a accepté de payer 294 millions de USD pour 28% du site de localisation AutoNavi Holdings Ltd. Pour développer des opportunités d’e-commerce géo localisé ;
-       Développement d’applications mobiles.

2.2.     Stratégie de développement long terme favorisé par la privatisation d’Alibaba en 2012

Le fondateur du Groupe Alibab a su parfaitement utiliser la bourse comme accélérateur de croissance : l’IPO à Hong Kong de alibaba.com avait été un succès en 2005, alors même qu’il fallait une certaine foi pour croire aux chiffres de croissance annoncés, utilisés pour valoriser la compagnie.

Lorsqu’il n’a plus besoin des marchés financiers, le CEO sait aussi s’en retirer afin de pouvoir poursuivre une politique de croissance long terme, sans la pression des résultats trimestriels. En février 2012, la société Alibab.com a ainsi été privatisée, afin qu’Alibaba soit détenue à 100% par le Groupe Alibaba.

Ce discours responsable est en rupture avec celui de sociétés occidentales subissant ces dernières années la pression néfaste de certains actionnaires : fonds vautours, hedge funds.

2.3.     Un fondateur charismatique qui a su préserver son image de personne simple

Le fondateur d’Alibaba Holding Jack Ma a annoncé récemment qu’il allait laisser son poste de CEO du Groupe pour se consacrer à l’éducation et à des causes environnementales.

Loin d’être un simple moyen d’améliorer l’image de la société, ce changement semble être celui d’une personne sincère qui souhaite revenir à sa passion première : l’enseignement. Il semble plus sincère et radical dans sa démarche, que la mise en place de fondations par certaines sociétés. Ces opérations ressemblent souvent plus à des opérations de marketing ou de défiscalisation.

L’éthique était déjà au centre des préoccupations de Jack Ma. Celui-ci a insisté à de multiples reprises sur l’importance d’Alibaba dans le développement des petites et moyennes entreprises : un souci de laisser à chacun sa chance dans le commerce mondial. Toutes les plateformes développées se veulent ouvertes à tous les participants, et ce à des prix très réduits, lorsqu’une activité est lancée.

Jack Ma Is the Loneliest Billionaire in China
It’s been a rough 18 months for Chinese Internet tycoon Jack Ma, founder and chairman of the Alibaba Group, a sprawling conglomerate of Web companies. Early in 2011 a fraud scandal hit his business-to-business e-commerce site, Alibaba.com. At roughly the same time, the U.S. government publicly shamed Alibaba-owned Taobao, a hugely successful hybrid of Amazon.com (AMZN) and EBay (EBAY), for enabling the sale of counterfeit merchandise. Last fall thousands of small merchants protested online and outside Alibaba’s headquarters in Ma’s hometown, the eastern city of Hangzhou, against a hike in Taobao’s listing fees. “I was so lonely at that time,” says Ma, who considers himself a champion of local entrepreneurs and says the higher prices were necessary to fight piracy. “Nobody wanted to believe Jack Ma.”

His bad run may be coming to an end. On May 21 he reached a long-desired deal with Yahoo! (YHOO) to buy back half of the U.S. Web portal’s 40 percent stake in Alibaba Group. The Chinese company will pay Yahoo $7.1 billion for the shares, valuing Alibaba at about $35 billion. Yahoo and another large shareholder, SoftBank, agreed to reduce their voting rights to 49.9 percent, even though the two combined still own more than half of Alibaba. Shareholders also approved a plan to pay as much as $2.5 billion to privatize Hong Kong-listed Alibaba.com, the group’s flagship brand.

Taken together, the deals are huge steps toward Ma’s goal of an initial public offering for Alibaba Group. The IPO, which Ma says is still a few years off, could be the largest stock market debut in Chinese Internet history. That would certainly show critics that he’s built a sustainable company: “This is not a business that belongs to Jack Ma,” he says during a wide-ranging interview in Beijing in early June.

Ma, a former English teacher, started Alibaba in 1999. For most of the company’s history, he played the part of the hometown favorite standing up to foreigners such as Meg Whitman, who tried to bury Taobao when she was chief executive officer of EBay. As his difficulties last year show, Ma’s operation is no longer the scrappy underdog—it’s a rapidly expanding empire. Alibaba.com has offices in the U.S., Britain, India, Japan, and Korea. Taobao and Tmall.com, a sister site that opened in 2008, dominate e-commerce in China and together account for 71 percent of consumers’ online purchases, according to research firm Analysys International. Most of those customers use Alipay, his online payment service. In the year ended Sept. 30, Alibaba Group earned $268 million on sales of $2.3 billion, according to Yahoo’s annual report. Says Zeng Ming, Ma’s chief strategist: “We are much more influential than we thought.”

For Alibaba to keep its momentum, the company will need focus—right at a time when Ma is showing signs of distraction. “I am going to enjoy some other things apart from business,” he says. Already one of China’s richest men, with a stake in Alibaba worth about $2.6 billion, Ma shows little interest in technology: He doesn’t spend much time online and depends on a colleague to help him download U.S. TV shows to his iPad. Instead, he dabbles in poker, traditional medicine, and other pastimes. He’s teamed up with movie star Jet Li to spread awareness of tai chi and is so into the ancient Chinese martial art that he brings along a personal trainer when he travels. Environmentalism is another pet cause. In 2010, Ma joined the global board of the Nature Conservancy. Says Orville Schell, a former dean of the journalism school at the University of California at Berkeley, and a close friend: “Business is not his first love.”

Ma has been spending time in the Bay Area. He rents a home there, and he has audited history courses at Berkeley, where his son is an undergraduate. The time in the U.S. has clearly rubbed off on him. “I want people to learn what democracy means,” he says. One way to do that: The company’s 25,000 employees elect 10 representatives who determine how Alibaba spends part of its philanthropy budget. “This is the first test in China of a real democracy,” Ma says.

The Chinese government isn’t terribly interested in testing democracy, of course. Beijing is showing an interest, however, in what Alibaba does. In the past, Ma thought the best way to keep the government happy was for Alibaba to do well and create jobs. But, he says, “when you have millions of [small companies] using your site and billions of dollars of transactions every day, the government cares.” In 2011, after the fraud and counterfeiting scandals, Ma met with government officials 40 to 50 times. “I try my best to talk with them and make sure they understand what we are doing,” he says.

Ma also wants the world to know that he takes antipiracy efforts seriously. Alibaba has hired James Mendenhall, a top lawyer in the George W. Bush administration, as its Washington lobbyist, and Taobao says it removed 63 million pirated products last year. In December, the U.S. Trade Representative acknowledged that Taobao is making “significant efforts” to expunge the fakes. Tmall specializes in authentic, name-brand goods.

The looming challenge for Ma and Alibaba is competition. China’s e-commerce market may grow 42 percent this year, to $173 billion, according to JPMorgan Chase (JPM). That growth has global retailers slavering. In February, Wal-Mart Stores (WMT) acquired Shanghai-based e-commerce site Yihaodian. A group of investors that includes Russia’s Digital Sky Technologies put $1.5 billion into retailer 360buy Jingdong Mall last year. And on May 24, Tencent, Alibaba’s chief competitor, announced plans to invest $1 billion in its e-commerce unit.

The rivals will be battling uphill, says Michael Clendenin, managing director of RedTech Advisors in Shanghai. Other retailers hold inventory and operate costly delivery networks; Taobao and Tmall let vendors take care of those low-margin tasks and instead earn money through storefront fees, ads, and infrastructure support. “He’s the ultimate winner,” Clendenin says. “In e-commerce, Jack Ma is the house—and the house always wins.”

The bottom line: Ma's next challenge is staying dominant in the $173 billion Chinese e-commerce market—and not getting distracted.

HANGZHOU, China, Sept. 18, 2012 – Alibaba Group Holding Limited, China’s largest e-commerce company, announced today it has completed the initial repurchase of shares from Yahoo! and restructured its relationship with the Silicon Valley company in transactions valued at approximately US$7.6 billion. The closing follows the May 20, 2012 announcement by Alibaba Group and Yahoo! of a comprehensive plan for Yahoo! to reduce its stake in Alibaba Group in stages over time and a series of agreements to implement the restructuring of the ongoing relationship between the two companies.
The initial repurchase of shares, which represented one-half of Yahoo!’s 40% stake in Alibaba Group on a fully diluted basis, was valued at approximately US$7.1 billion. Of this, Yahoo! received approximately US$6.3 billion in cash and US$800 million in preference shares in Alibaba Group. Concurrent with the initial repurchase, Alibaba Group paid Yahoo! a one-time cash payment of US$550 million in connection with the amendment of their existing technology and intellectual property license agreement. Under the terms of the agreement with Yahoo!, Alibaba Group has the right to repurchase one-half of Yahoo!’s remaining stake upon a qualifying initial public offering in the future. Yahoo! originally acquired its stake in Alibaba Group in 2005 in exchange for US$1 billion and sale of its Yahoo! China business to Alibaba Group.

“The completion of this transaction begins a new chapter in our relationship with Yahoo!,” said Jack Ma, Chairman and Chief Executive Officer of Alibaba Group. “We are grateful for Yahoo!’s support of our growth over the past seven years, and we are pleased to be able to deliver meaningful returns to our shareholders including Yahoo!. I look forward to working with Marissa Mayer and her team in our continued partnership.”
Alibaba Group financed the transaction with a mixture of cash on hand, senior debt and the issuance of convertible preference and ordinary shares. The financing package is the largest ever private financing for a private sector Chinese company, and the largest non-LBO private financing for a technology company globally. The new equity financing was completed at a valuation of approximately US$40 billion.
“Over the past several months we have witnessed significant dislocations in the financial markets driven by global macro events and developments specific to China and the Internet industry. Our ability to raise financing in these difficult market conditions speaks to the strength of our business, our market leadership position and the confidence our investors and financial partners have in the future of Alibaba,” said Joe Tsai, Chief Financial Officer of Alibaba Group.
Eight international banks – Australia and New Zealand Banking Group, Barclays Bank, Citi, Credit Suisse, DBS Bank, Deutsche Bank, Mizuho Corporate Bank and Morgan Stanley – provided US$1 billion of senior debt financing for the transaction, while China Development Bank was the sole Chinese bank that provided a parallel senior debt facility of US$1 billion.
The issuance of ordinary shares was subscribed by lead investors CIC International Co., Ltd. and two of China’s leading private equity firms, Boyu Capital and CITIC Capital, as well as CDB Capital, the equity investment arm of China Development Bank. In addition, existing shareholders including Silver Lake, DST Global and Temasek participated by increasing their investment in the company. The convertible preference shares were successfully placed with global institutional investors from Asia, Europe and the United States.
The completion of this US$7.6 billion transaction caps off a total of more than US$12 billion in M&A and financings undertaken by Alibaba Group in the past 12 months. One year ago, investors led by Silver Lake, DST Global, Temasek and Yunfeng Fund invested US$2 billion in Alibaba Group to provide liquidity to the company’s early investors and employees. In June 2012, the company completed the privatization of Alibaba.com Limited, the B2B e-commerce subsidiary then-listed on the Hong Kong Stock Exchange, through a public offer and cash purchase of the 27% in Alibaba.com that it did not already own in a transaction that valued the minority stake in the subsidiary at US$2.5 billion.

Billionaire Jack Ma, founder of Alibaba Group Holding Ltd., said he plans to focus on environmental protection and education as he steps down as chief executive officer of China’s largest e-commerce company before an initial public offering.

Ma won’t return as Alibaba’s CEO, he said yesterday during a company event in Hangzhou, China, as he ceded the role to successor Jonathan Lu. The company will continue supporting small and medium-sized enterprises in China, said Ma, who will remain executive chairman and shape strategy. Ma told employees in January about his plan to step down as CEO.

“I hope you can trust the new team and Lu just like you trusted me,” he said. “Ten years of being an entrepreneur has made me understand hardship, persistence and responsibility.”

Lu takes charge of a company whose sales equal 2 percent of China’s gross domestic product and is refocusing on mobile platforms to replicate its dominance with desktop computer users. Alibaba is rolling out a smartphone operating system, buying a stake in China’s biggest Twitter-like service and getting $8 billion in loans -- steps considered a prelude to an IPO that may be worth as much as $100 billion.

Alibaba doesn’t sell merchandise itself. Instead, it runs platforms including Taobao Marketplace and Tmall.com that connect retail brands with consumers, a cross between Amazon.com Inc. and EBay Inc. (EBAY) It makes most of its sales from commissions and advertising.

Goods sold on Alibaba -- ranging from consumer staples to cement and aluminum -- were worth $180 billion last year, said Eric Qiu, analyst at Guosen Securities Co. in Hong Kong.

Profit Doubled

Ma’s handover of the CEO role in Hangzhou, where Alibaba is based, coincides with the 10-year anniversary of Taobao, which means “searching for treasure” in Chinese. The business is credited with generating an estimated 13 million jobs in China last year, according to a company-commissioned report.

A former English teacher, Ma and 17 others founded Alibaba as an online marketplace for Chinese companies in 1999.

Alibaba’s profit more than doubled to $642.2 million in the quarter ended December from $236.9 million a year earlier, according to a Yahoo! Inc. filing. Revenue rose 80 percent to $1.84 billion, according to the Sunnyvale, California-based company, which owns about 24 percent of Alibaba.

Morgan Stanley estimates Alibaba’s net income could reach $2.18 billion for the 12 months through December, more than double last year’s $746.3 million, according to a March 6 research note.

Alibaba’s Tmall and Taobao generated 4 billion package deliveries, according to Ma. That is 70 percent of China’s 5.7 billion parcel and express deliveries in 2012, according to the State Post Bureau.

Tencent’s WeChat

Ma has an estimated net worth of $3.5 billion, according to the Bloomberg Billionaires Index. He owns about 7.4 percent of Alibaba Group, according to a Hong Kong stock exchange filing in April 2012.

Even though Ma won’t look after daily matters, he will remain the most important person in the company, said Qiu of Guosen Securities.

“Investors won’t be too worried about him stepping down, what they care about is whether Alibaba can maintain growth and how it deals with regulatory risks,” Qiu said. “Jack Ma will be there to take care of that.”

Lu has to contend with fresh competition, including the WeChat messaging service of China’s biggest Internet company, Tencent Holdings Ltd. (700), that has more than 300 million users.




A key challenge will be maintaining creativity and innovation given the increased size of Alibaba, said Victor Yip, an analyst at UOB-Kay Hian Ltd. in Hong Kong.

“It would be hard to sustain a three-digit growth every year at such a big scale,” Yip said.

Smartphone Users

China had 564 million Internet users at the end of 2012, according to the government-run China Internet Network Information Center. The nation has more Web users than the population of any other country except India.

Chinese are more likely than their global counterparts to use smartphones and tablets to shop online, according to a PricewaterhouseCoopers LLP survey in May. In China, 35 percent of respondents shop on smartphones at least once a month, compared with 16 percent for global consumers, the survey showed.

To help compete with Tencent, Ma is making acquisitions. Last month, Alibaba spent $586 million for an 18 percent stake in Sina Corp. (SINA)’s Weibo unit to capture a greater share of social e-commerce through smartphones and tablet computers.

The company yesterday agreed to pay $294 million for a 28 percent stake in mapping company AutoNavi Holdings Ltd. to develop location-based e-commerce opportunities, it said.

Mobile Platform

Lu joined Alibaba in 2000 to manage the South China sales region for Alibaba.com. In 2004, he led a team to develop Alipay, an equivalent of PayPal Inc.’s service, and became chief executive officer of Taobao in 2008, according to a company statement.

Lu became chief executive officer in 2011 of the then-publicly traded Alibaba.com Ltd., a business-to-business platform. After the Hong Kong-listed spinoff was bought back by the parent in 2012, Lu focused on his role as chief data officer at Alibaba Group and oversaw development of its mobile operating system called AMOS.

The company is working with five Chinese handset makers to use the software, it said last month.

This month, the company finalized $8 billion of new loans from nine banks to refinance older borrowings and buy back preferred shares from Yahoo! Inc. (YHOO)

“As a new CEO, he will have to keep a whole group of people involved,” said Mark Tanner, founder of China Skinny, a Shanghai-based research and marketing agency. “Once you’re listed the whole game changes, you are answerable to your shareholders as much as your customers.”
